SaaS Contract Checklist: 12 Terms to Check Before You Sign

A 12 point checklist of SaaS contract terms to check before signing, covering renewal, price increases, data, security, service levels and exit.

Buying Guides: SaaS Contract Checklist: 12 Terms to Check Before You Sign

A SaaS contract decides what you pay in year two and three, not just year one. Zylo's 2026 SaaS Management Index reports that the average organization handles 211 SaaS renewals a year, nearly one every business day, so terms that look minor at signing add up quickly.

The checklist at a glance

# Term What good looks like
1 Contract term Matches how long you are confident you need the tool
2 Auto renewal and notice 30 days or less, with a reminder from the vendor
3 Price increases Capped at a fixed percentage per renewal
4 Definition of a user Clear rules for inactive, guest and part time users
5 Seat reductions Right to reduce seats at renewal
6 Data ownership You own your data; vendor use is limited to providing the service
7 Data export Full export in a standard format, at any time, at no extra cost
8 Data deletion Deletion within a stated period after termination
9 Data processing agreement In place where personal data is processed
10 Security commitments Named controls, breach notification time and audit reports
11 Service levels Uptime target, support response times and service credits
12 Termination Exit rights if service levels or security commitments are breached

Term and renewal

Check the length of the term, whether it renews automatically and the notice you must give to cancel. The notice period is the deadline that matters: miss it and you may be committed for another full term. Ask for a 30 day notice period and add the date to a shared calendar.

Price and seats

Look for a cap on annual price increases at renewal. Confirm exactly what counts as a billable user, whether inactive users still cost money and whether you can reduce the number of seats at renewal, not just add them. Zylo reports that for 61% of IT leaders, unplanned SaaS costs affected planned projects.

Data ownership, export and deletion

The contract should say that you own your data and that the vendor uses it only to provide the service. Confirm you can export all of it, in a usable format, without paying for professional services, and that the vendor deletes it within a defined period after you leave. Check separately whether the vendor may use your data to train AI models, and how to opt out.

Data processing and security

Under the GDPR, processing by a vendor on your behalf must be governed by a contract that sets out, among other things, the subject matter, duration, nature and purpose of the processing (Article 28). Many vendors publish a standard data processing agreement. Also ask how quickly the vendor will tell you about a security breach and which independent security reports it can share.

Service levels and exit

Note the uptime commitment, support hours and response times for urgent issues, and what credits you receive if the vendor misses them. Finally, check that you can terminate if the vendor repeatedly breaches its service levels or security commitments.

Frequently asked questions

Can small businesses negotiate SaaS contracts?

Often, yes. Monthly self serve plans are usually fixed, but annual and multi year contracts frequently have room on price, increase caps, payment terms and notice periods, especially at the end of a vendor's quarter.

What is a reasonable renewal notice period?

Thirty days is common for small business contracts. Longer notice periods of 60 or 90 days are easy to miss, so ask to shorten them or diarise the deadline the day you sign.

Do I need a data processing agreement?

If the vendor will process personal data on your behalf and you are subject to the GDPR or similar laws, you generally need a contract covering processing. Many vendors publish a standard data processing agreement you can accept.
